[A] From 3rd March, 1999 onwards :

The Job and the Company Profile : Presently I am working with a Premier Financial Institution of India viz. ICICI Limited at Ahmedabad Zonal Office. My main responsibilities are to look after the Accounts and the MIS departments. ICICI Limited (erstwhile The Industrial Credit and Investment Corporation of India Limited) was founded by the World Bank, the Government of India and representatives of private industry on January 5, 1955 to encourage and assist industrial development and investment in India. Over the years, ICICI has evolved into a diversified financial institution. ICICI's principal business activities include medium-term and long-term project financing for the infrastructure and manufacturing sectors, corporate finance to meet the treasury requirements of Indian companies, lease finance as well as a comprehensive range of financial and advisory services. The liberalisation of the Indian economy in the 1990s offered ICICI an opportunity to provide a wider range of financial services. For regulatory and strategic reasons, ICICI has set up specialised subsidiaries in the areas of commercial banking, investment banking, non-banking finance, investor servicing, broking, venture capital financing and state-level infrastructure financing. ICICI Limited is the first Indian company to list its ADRs on the NYSE. Job Profile : Being the head of the Accounts Department of the Zone, I am responsible for maintaining the Accounts department of the Zone. For MIS, I am responsible for collecting and preparing data for the Monthly Performance Reports.

Broadly the job involves major responsibilities, over and above other routine accounting work, such as Loan Disbursements, Billings, Collections, Fund Flows, NPA Analysis & NPA Management, Various Audits like Statutory Audit on monthly basis, Internal Audit, RBI Audit etc., Taxation matters of the Zone like TDS, Professional Tax etc., Monthly Performance Report, Projections, Budgeting, Preparing Presentations etc.

In addition, I am also responsible for data integrity and consistency checks. I have to work on Oracle based (Unix Platform) accounting package (tailor made) viz. ILFA (Integrated Loan and Financial Accounting System). As the database is centrally located at Mumbai, I have also to be in constant touch with Mumbai Office for data and various reports.

[B] From 1st August, 1997 to 2nd March, 1999 :

Being professionally qualified as a Chartered Accountant and a Company Secretary, I practiced as a Chartered Accountant under the name and style of CHIRAG SHAH & CO., Chartered Accountants. My main practice areas were consultancy in the fields of Public Issues, Finance [including Term Loans (ECB also), Working Capital Loans, Corporate Loans, Short Term Loans and others], Project [including identification, planning and implementation], Take Over,  Merger, Corporate Structuring, Capital Structuring, Investment Planning, Portfolio Management, Tax Planning, etc. I was also doing other routine practice like Audits, Income Tax Matters, Company Law Matters, etc.

My Fixed Obligations :

From 1-8-97 to 30.11.98 : I was retained by Mehta Integrated Finance Ltd., Ahmedabad, as a consultant for Finance and Resources of the Company. My main assignment was to maintain Banking Department - more particularly consortium limits and other term loan accounts of the company, to appraise, structure and finance Leasing/ Hire Purchase proposals, Investment
Analysis, Accounting, finalisation of the Group Balance Sheets, etc. I have structured and developed the administrative and operational set up for Mehta Securities Ltd. for its NSE operations [I have very good exposure to the NSE operations and dealings]. I also gave consultancy services for Bidding for Land Based Short Gestation Power Projects at two-three locations out of the 24 locations proposed by GPCL.

From 1-10-98 to 2.3.99 : I was retained by Shree Shakti Vijay Industries Ltd. (SVIL), Ahmedabad, as a consultant for Accounts and Finance of the Company. SVIL is engaged in Cotton Ginning & Pressing activities with an installed capacity of 56000 TPA  and an Oil Mill with an installed capacity of 150 TPD. It has a state of the art, first so ever totally modernised Plant with an annual turn over of more than Rs. 100 crores. My main assignment was to prepare and finalise 18 months (1.4.97 to 30.9.98) accounts of the Company and to get them audited, to deal with IDBI and Bankers of the Company for Term Loans and Working Capital Loans of the Company, to prepare and file a reference to BIFR to declare the Company sick etc.

[C] From 1st August, 1994 to 31st July, 1997 :

The Job and the Company Profile : I worked with Mehta Integrated Finance Limited, Ahmedabad, as a Senior Manager - Merchant Banking Division. Mehta Integrated Finance Limited is a public limited listed company, registered as a category- 1 Merchant Banker with SEBI. The Company is also engaged in Leasing & Hire Purchase, Bought Out Deals, Market Making, Invest-ment Banking, Stock Broking etc. activities. Other group Company Mehta Securities Ltd. is a member of Capital Market Segment of NSE and also a member of OTCEI and the Saurashtra-Kutch Stock Exchange Ltd.

Job Profile : I was looking after the entire Merchant Banking Division of the Company. I was acting as a profit centre head and directly reporting to the Managing Director of the Company. My main responsibilities were marketing and developing the client base, structuring their Means of Finance, suggesting the fund raising instruments, suggesting and implementing restructuring, amalgamation, take over etc., if required, preparing Project Reports, doing Appraisals, drafting Offer Letters, dealing with SEBI, dealing with Stock Exchanges and ROC Offices, marketing the issues, conducting and attending brokers & press meetings for the marketing of the issues, doing Bought Out Deals, financing/ arranging finance to/ for Merchant Banking clients etc. activities. The other routine work was to search for new clients, submission of financing proposal for approval of term loan/ working capital loan to banks/ financial institution for the clients, coordination and managing the staff etc. I have completed more than 40 Public/ Right issues under my hands. I have also very wide experience and in depth knowledge of Corporate Finance and Corporate Accounting. My Accounting knowledge includes finalisation of the group Balance Sheets and audits thereof.

[D] From 16th May, 1991 to 31st July, 1994 :

The Job and the Firm Profile : On 15th May, 1994 I completed three year's articleship for C.A. Course with Chandabhoy & Jassoobhoy at Silver Oaks, Paldi, Ahmedabad, Chartered Accountants, a firm of national level having Head Office at Mumbai and branch offices at Ahmedabad, Delhi and Madras and also connected with an association of internationally connected independent accounting firms ‘Midsnell International’. I also worked as a Senior Manager (Audit) for the period from 16th May, 1994 to 31st July, 1994 with the said firm.

Having worked with such a large firm, I have very wide and varied experience in conducting statutory audits, internal audits, tax audits, taxation matters, tax planning, company law matters etc. My other responsibilities were Scheduling of activities, Manpower Planning, Liaisoning, Organising the work, Delegation of work to subordinates and reporting to partners etc.

My wide and varied audit experience includes the audits, statutory as well as internal, tax-audits etc. conducted of the reputed clients like UTI, UTI Bank Ltd., The New India Assurance Company Ltd., H.D.F.C., GRUH, Gujarat Heavy Chemicals Ltd.
